Job Title: Senior Manager, M&A Project Management

The M&A team is a centralized global corporate group set up with the objective of leading this activity. The team is composed of senior members who interface with the business units, leadership team, and the functional groups across the company.

As a Senior Manager, M&A Project Management for the M&A team you will support the transaction execution. This is a newly created position that will directly report to the Executive Director, Acquisitions & Divestitures. The role is ideal for someone who thrives in the deal making environment and process.

 

Essential Duties and Responsibilities:

 

  • Manage M&A divestiture projects to support pre-close, post- close, and day 1 separation activities.
  • Partner with functional, business unit teams and external advisors for operational understanding to drive overall transaction execution
  • Manage the deal execution, providing centralized governance and coordination to keep the respective teams involved in the deal on track
  • Drive successful execution against deal milestones by tracking milestones, making key recommendations to stakeholders, and holding cross-functional teams accountable for timely execution of deliverables
  • Dedicated time commitment through-out the deal lifecycle to ensure the project remains on schedule and within budget
  • Demonstrate a thorough understanding of TSA evaluation in the pre-close planning phase to identify the deal perimeter and where the gaps will appear when executing the transaction.
  • Identify what will need TSA or reverse TSA support, evaluate pricing and structure services, and provide planning to close the gaps with new services, systems, people, processes, or contracts to meet operational needs.
  • Identify and track one-time costs, stranded costs and standalone costs to preserve and enhance value.
  • Report status updates to the leadership ensuring all stakeholders are aligned, proactively address potential issues and risks, facilitate issue escalation and timely decision-making
  • Develop processes and procedures, including meeting schedules, reporting structures, and tools/templates
  • Perform other related duties as necessary or assigned.

 

Education: Bachelor’s Degree in related field

  • Proven track record in managing M&A deal integration/separation, including financial processes, system migration, and change management initiatives
  • Strategic thinker with cross-functional knowledge of how the organization operates
  • Ability to align M&A activities with corporate strategy, evaluate deal rationale, and contribute to long-term vision and financial objectives
  • Strong interpersonal and communication skills to build relationships and collaborate effectively with cross-functional teams, senior management, and external stakeholders.
  • Ability to foster a culture of collaboration and teamwork by encouraging cross-functional engagements
  • Ability to identify opportunities for execution acceleration
  • General awareness of business processes across functions and standard financial metrics.
  • Proven ability to manage and appropriately prioritize multiple projects and initiatives in a dynamic and fast-paced environment
  • Strong presentation skills, with the ability to articulate complex strategic concepts in a clear and persuasive manner.
  • Excellent written and verbal communication skills coupled with strong financial, legal and general business acumen
