Job Title: Senior Manager, M&A

The M&A team is a centralized global corporate group set up with the objective of leading this activity. The team is composed of senior members who interface with the business units, leadership team, and the functional groups across the company.

As a Senior Manager, M&A you will support acquisitions, divestitures and investment transaction execution.. This is a newly created position that will directly report to the Executive Director, Acquisitions & Divestitures. The role is ideal for someone who thrives in the deal making environment and process.

 

Essential Duties and Responsibilities:

 

  • Provide M&A valuation and execution support for acquisitions, divestitures and investments that are aligned with the Company's strategic direction.
  • Build, review and present financial models and related analyses, including discounted cash flow, LBO, merger consequences and investment returns for potential transactions. 
  • Manage M&A divestiture projects to support pre-close, post- close, and day 1 separation activities.
  • Partner with functional, business unit teams and external advisors for operational understanding to drive overall transaction execution 
  • Manage the deal execution, providing centralized governance and coordination to keep the respective teams involved in the deal on track
  • Drive successful execution against deal milestones by tracking milestones, making key recommendations to stakeholders, and holding cross-functional teams accountable for timely execution of deliverables.
  • Demonstrate a thorough understanding of TSA evaluation in the pre-close planning phase to identify the deal perimeter and where the gaps will appear when executing the transaction. 
  • Work with colleagues from business units and corporate functions to articulate business cases, build financial models, support internal decision-making, due diligence and reporting
  • Financial management support extends throughout the M&A lifecycle, including valuation, financial and business case development, scenario analysis, synergy and dis-synergy analysis, development and consensus building for an actionable integration plan, and overseeing and 
  • Assist in the development and communication of the strategic business case to obtain leadership support for M&A and other strategic initiatives.
  • Support toolkit development for comprehensive deal evaluation, incorporating value creation analysis, synergy rationale, and financing needs. 
  • Report status updates to the leadership ensuring all stakeholders are aligned, proactively address potential issues and risks, facilitate issue escalation and timely decision-making. 
  • Perform other related duties as necessary or assigned.

 

Education: Bachelor’s Degree in related field

 

Skills:

  • Proven track record in managing M&A transactions, with prior experience in investment banking, private equity, and/or corporate development.  
  • Ability to model and synthesize complex financial analysis and operational data. 
  • Exceptional corporate finance and modeling skills including ability to independently create ad hoc financial analysis
  • Significant financial analytical skills, ability to understand and interpret financial statements; familiarity with acquisition accounting issues and company valuation methodologies is a plus
  • Proven ability to manage and appropriately prioritize multiple projects and initiatives in a dynamic and fast-paced environment 
  • Strong presentation skills, with the ability to articulate complex strategic concepts in a clear and persuasive manner. 
  • Strong interpersonal skills, enabling effective collaboration and relationship-building across functions and business units.
  • Excellent written and verbal communication skills coupled with strong financial, legal and general business acumen
  • Exemplary attention to detail in all aspects of work product
  • Positive attitude, a strong work ethic and commitment to clear and open communication
  • Willingness for periodic travel both domestic and internationally, as required
