ABOUT THE ROLE
The Director, Corporate Finance & Capital Markets serves as a strategic partner to the VP Treasury & Capital Markets and plays a critical role in supporting the Company’s financing strategy, capital markets activities, strategic transactions, and executive decision-making processes.
KEY RESPONSIBILITIES
Corporate Finance & Financial Analysis
- Develop and maintain sophisticated financial models supporting strategic decision making, financing activities, capital allocation, and enterprise valuation.
- Maintain and enhance the Company's external financial model used for lenders, rating agencies, investors, and capital markets transactions.
- Translate internal operating forecasts into market-facing financial projections and analyses.
- Perform detailed analysis of financial performance, liquidity, leverage, debt capacity, valuation, cash flow generation, and capital structure alternatives.
- Develop scenario analyses, sensitivity analyses, and strategic recommendations for executive leadership.
Capital Markets & Financing Activities
- Support execution of debt and equity capital markets transactions, including IPO readiness, secondary offerings, block sales, refinancing transactions, and other financing initiatives.
- Prepare analyses and materials supporting interactions with investment banks, lenders, rating agencies, and investors.
- Assist in evaluating financing alternatives and capital structure optimization opportunities.
- Support preparation of lender presentations, management presentations, financing materials, and due diligence requests.
- Monitor capital markets, financing trends, peer activities, and industry developments.
Executive Leadership & Board Support
- Prepare presentations and analyses for the Board of Directors, Executive Leadership Team, Finance Committee, and other governance forums.
- Develop executive briefing materials and recommendations for the CFO and VP Treasury & Capital Markets.
- Translate complex financial and operational information into concise, actionable recommendations.
- Review and enhance presentations developed by FP&A, Investor Relations, Corporate Development, Treasury, and other functions to ensure consistency, analytical rigor, and executive-level quality.
Strategic Transactions
- Support mergers, acquisitions, divestitures, strategic investments, and other corporate development activities.
- Develop valuation analyses, business cases, and transaction-related financial models.
- Coordinate financing and capital markets workstreams associated with transaction execution.
- Support due diligence activities and transaction-related stakeholder communications.
Cross-Functional Project Leadership
- Lead strategic initiatives and special projects involving Treasury, FP&A, Accounting, Tax, Investor Relations, Legal, HR, IT, Operations Finance, and business leadership teams.
- Develop project plans, track milestones, identify risks, and drive accountability across stakeholders.
- Coordinate execution of complex initiatives related to financing activities, IPO readiness, public company readiness, governance enhancements, and strategic priorities.
- Proactively identify issues, develop solutions, and drive implementation plans.
Strategic Partner to VP Treasury & Capital Markets
- Serve as a trusted advisor and thought partner on strategic, financial, and operational matters.
- Act as an extension of the VP Treasury & Capital Markets across key initiatives and executive priorities.
- Independently develop analyses, recommendations, presentations, and action plans with limited direction.
- Help prioritize and coordinate multiple concurrent initiatives while ensuring high-quality execution.
JOB REQUIREMENTS
- Bachelor's degree in Finance, Accounting, Economics, Business, or related discipline.
- 8-12 years of experience in investment banking, leveraged finance, debt capital markets, strategic finance, corporate finance, corporate development, or related fields.
- Strong financial modeling expertise, including integrated three-statement models, valuation analyses, debt models, and scenario planning.
- Deep understanding of financial statements, corporate finance principles, capital structure, and financing alternatives.
- Experience supporting complex financing transactions, capital markets activities, M&A transactions, or strategic initiatives.
- Exceptional analytical, problem-solving, and critical thinking skills.
- Advanced PowerPoint and executive presentation development capabilities.
- Strong project management and stakeholder management skills.
- Excellent written and verbal communication skills.
- Ability to operate effectively in a fast-paced, dynamic, and highly collaborative environment.
Preferred
- Experience in Investment Banking (M&A, Industrials, Leveraged Finance, Debt Capital Markets, Financial Sponsors, or Coverage Banking).
- Experience supporting debt refinancing, leveraged finance transactions, or capital markets activities.
- Experience supporting IPOs, public company readiness initiatives, or sponsor-backed companies.
- Experience interacting with rating agencies, lenders, investment banks, and investors.
- Experience in industrial, manufacturing, capital goods, or diversified industrial sectors.
- MBA and/or CFA designation preferred
